These Terms and Conditions ("Terms") govern your use of the Next Level Human Capital website located at www.nextlevel-hc.com and all consulting, assessment, and HR strategy services provided by Next Level Human Capital LLC ("NLHC," "we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms in full. If you disagree with any part, do not use our website or services. Questions? About Next Level Human Capital

Next Level Human Capital LLC is a veteran-owned human capital consulting firm headquartered in St. Louis, Missouri. Founded by Tim Schumer, a former U.S. Marine and executive HR professional, NLHC provides organizational health engineering, leadership development, workforce assessments, and HR systems strategy to companies with 50–300 employees.

Our services are organized across three integrated pillars: Intelligence (behavioral and psychometric assessments via Criteria Corp), Development (leadership frameworks via Working Genius), and Systems (HR infrastructure via isolved). These Terms apply to all service lines, digital properties, and client engagements operated under the Next Level Human Capital brand.

Section 02

Acceptance of Terms

By accessing or using our website, scheduling a consultation, engaging our services, or entering into a service agreement with NLHC, you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to enter into binding agreements on behalf of yourself or your organization
  • You have read, understood, and agree to be bound by these Terms
  • You agree to our Privacy Policy, which is incorporated into these Terms by reference

If you are accessing our website or services on behalf of a company or other legal entity, these Terms apply to that entity and all individuals acting under its authority.

Section 03

Services Provided

NLHC provides customized human capital consulting services. The scope, timeline, deliverables, and fees for each engagement are defined in a separate written service agreement or statement of work ("SOW") executed between NLHC and the client organization. These Terms apply to all engagements unless expressly superseded in writing by a signed SOW.

  • Workforce Assessments — Criteria Corp psychometric and behavioral assessments for hiring, promotion, and development
  • Working Genius Facilitation — Team productivity and role-alignment workshops and integration
  • isolved Implementation Support — HR technology deployment, configuration, and alignment to business strategy
  • Human Capital Benchmarking — Organizational comparison across leadership, talent, and HR maturity dimensions
  • Strategic HR Consulting — Fractional and project-based executive HR partnership
Service Delivery

Services may be delivered in person (St. Louis metro and surrounding areas), remotely via video conference, or in a hybrid format as agreed upon in the SOW. NLHC reserves the right to utilize qualified subcontractors or partners in the delivery of services, provided they are bound by equivalent confidentiality and data protection obligations.

Not Legal or Financial Advice: Nothing in our services, website content, reports, or communications constitutes legal, financial, accounting, or tax advice. NLHC is an HR and organizational strategy consulting firm. Clients should consult qualified legal and financial professionals for matters requiring such expertise.

Section 04

Fees & Payment

All fees, payment schedules, and billing terms are specified in the applicable SOW or service agreement. The following general terms apply unless otherwise stated in writing:

  • Invoices are due upon receipt unless a net payment term is specified in the SOW
  • Payments more than 15 days past due may incur a late fee of 1.5% per month on the outstanding balance
  • NLHC reserves the right to pause or suspend services on accounts with outstanding balances exceeding 30 days
  • All fees are quoted and payable in U.S. dollars
  • Expenses incurred on behalf of a client (travel, materials, third-party tools) will be billed at cost unless included in a flat-fee agreement
Refunds & Cancellations

Due to the custom nature of our consulting work, fees paid for completed work or delivered deliverables are non-refundable. Cancellation terms for ongoing retainer or project-based engagements are specified in the SOW. If no cancellation clause exists, either party may terminate with 30 days written notice, and the client is responsible for fees accrued through the termination date.

Third-Party Technology Costs

Certain services involve third-party platforms including Criteria Corp assessments, isolved licensing, and Working Genius materials. Costs associated with these platforms will be disclosed in advance and detailed in the SOW. NLHC does not mark up third-party costs beyond what is disclosed.

Section 05

Client Responsibilities

A successful engagement requires collaboration. By engaging NLHC, the client organization agrees to:

  • Provide accurate, complete, and timely information necessary for NLHC to perform services
  • Designate an authorized point of contact with authority to make decisions related to the engagement
  • Ensure appropriate access to personnel, systems, and data required to complete the scope of work
  • Review and provide feedback on deliverables within agreed timelines
  • Comply with the terms of any third-party platform agreements (Criteria Corp, isolved, Working Genius) associated with the engagement
  • Maintain confidentiality of any proprietary NLHC frameworks, tools, or methodologies shared during the engagement

NLHC is not responsible for delays, errors, or suboptimal outcomes resulting from a client's failure to meet these responsibilities.

Section 06

Intellectual Property

NLHC Proprietary Content

All content on the NLHC website — including text, graphics, logos, frameworks, methodology names (including "Friction Tax," "People Engine," "Command-Ready Leadership," "Ground Truth Diagnostic," and related terminology), videos, scripts, and assessment tools developed by NLHC — is the exclusive intellectual property of Next Level Human Capital LLC and is protected by U.S. copyright, trademark, and intellectual property law.

You may not reproduce, distribute, modify, display, or create derivative works from any NLHC content without prior written consent from Tim Schumer.

Client Deliverables

Upon full payment of all fees, NLHC grants the client a non-exclusive, non-transferable license to use deliverables produced specifically for that client (e.g., reports, assessments, playbooks) for internal business purposes only. NLHC retains all underlying intellectual property, methodologies, and frameworks used in producing those deliverables.

Third-Party IP

Certain tools and frameworks used by NLHC — including Criteria Corp assessments, Working Genius materials, and isolved platform components — are owned by their respective third parties and are subject to their own licensing terms. NLHC facilitates access to these tools but does not transfer ownership of third-party intellectual property.

Section 07

Confidentiality

Both parties acknowledge that during an engagement, each may receive or have access to confidential information belonging to the other. "Confidential Information" includes, but is not limited to, business strategies, financial data, employee information, assessment results, operational processes, and proprietary methodologies.

  • Each party agrees to protect the other's confidential information with at least the same degree of care used to protect its own — and no less than reasonable care
  • Confidential information shall not be disclosed to third parties without prior written consent, except as required by law
  • These obligations survive termination of any service agreement for a period of three (3) years
  • Assessment results and employee data shared with NLHC for consulting purposes will be handled in accordance with our Privacy Policy

NLHC may reference client engagements in general terms for marketing or case study purposes only with explicit written permission from the client. We do not identify clients publicly without consent.

Section 08

Website Use & Acceptable Conduct

You are granted a limited, non-exclusive, non-transferable license to access and use the NLHC website for lawful purposes related to evaluating or engaging our services. You agree not to:

  • Use the website for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any portion of the website or its underlying systems
  • Transmit viruses, malware, or any other harmful code
  • Scrape, crawl, or systematically extract website content without written permission
  • Use the website to transmit unsolicited commercial communications
  • Impersonate NLHC, Tim Schumer, or any other person or entity
  • Interfere with or disrupt the integrity or performance of the website

NLHC reserves the right to block access to the website for users who violate these conditions, at our sole discretion and without notice.

Website Content

The content on the NLHC website is provided for general informational purposes only. While we strive for accuracy, we make no representations or warranties — express or implied — regarding the completeness, accuracy, reliability, or fitness for a particular purpose of any content on this site. Information may be updated without notice.

Service Outcomes

NLHC applies rigorous methodology and professional expertise to every engagement. However, we cannot guarantee specific business outcomes. Organizational improvement depends on many factors, including client implementation, leadership commitment, market conditions, and variables outside NLHC's control. Results described in marketing materials, testimonials, or case examples are illustrative and not guarantees.

Third-Party Platforms

NLHC is a certified partner and authorized facilitator of Criteria Corp, isolved, and Working Genius. We do not own or control these platforms and are not responsible for their availability, accuracy, data practices, or changes to their terms of service. Use of these platforms is subject to their respective terms and privacy policies.

Section 10

Limitation of Liability

To the fullest extent permitted by applicable law, Next Level Human Capital LLC, its founder, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of or inability to use the NLHC website
  • Any errors or omissions in website content
  • Any consulting services, assessments, or deliverables provided under a service agreement
  • Decisions made by the client based on NLHC recommendations or deliverables
  • Third-party platform performance, downtime, or data practices

In all cases, NLHC's total cumulative liability to any client shall not exceed the total fees paid by that client to NLHC in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow exclusion or limitation of certain warranties or liabilities. In such cases, our liability is limited to the maximum extent permitted by applicable law.

Section 11

Indemnification

You agree to indemnify, defend, and hold harmless Next Level Human Capital LLC, its founder Tim Schumer, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the NLHC website or services in violation of these Terms
  • Your breach of any representation, warranty, or obligation in these Terms or a service agreement
  • Your violation of any applicable law or regulation
  • Any inaccurate or misleading information you provided to NLHC in connection with a service engagement
  • Third-party claims arising from your use of NLHC deliverables beyond the scope of the license granted
Section 12

Governing Law & Dispute Resolution

These Terms and any disputes arising from them or from any NLHC service engagement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

Informal Resolution First

Before initiating any formal dispute process, both parties agree to make a good-faith effort to resolve the dispute through direct communication. Contact Tim Schumer at [email protected] or 314-886-8516 to initiate this process. Most issues are resolved at this stage.

Arbitration

If informal resolution is unsuccessful, disputes shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in St. Louis, Missouri. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in St. Louis, Missouri, to prevent irreparable harm — particularly in matters involving intellectual property infringement or breach of confidentiality.

Section 13

Modifications to These Terms

NLHC reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For active clients, we will provide notice via email where changes materially affect service agreements.

Continued use of the NLHC website or services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, discontinue use of the website and notify us to discuss your active service engagements.

Section 14

Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

These Terms, together with any executed service agreement or SOW and the NLHC Privacy Policy, constitute the entire agreement between you and Next Level Human Capital LLC regarding your use of our website and services, and supersede all prior or contemporaneous understandings, whether written or oral.

NLHC's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
